Overview

Responsible for handling the Corporate Governance agenda with the timely board meetings and

annual assembly meetings, handling timely reporting for the whole department including the

consolidated monthly report, reviewing the BIAC slides and Counsel Rep letters. In addition to

reviewing and drafting contracts for the Finance, and all Supporting Functions (HR, EHS, PPGA,

IT). Adding to this supporting the legal director on the review and advise for all our internal and

external Comms.

Responsibilities

  • Responsible for the corporate governance agenda including but not limited the board

meetings and assembly meetings. The coordination with Investment authority and all

relevant authorities for attesting the corporate governance-related documents.

  • Handling all the consolidated reporting for the legal team to be sent to the legal director,

in addition to the monthly legal report and counsel rep. letter review.

  • Coordinating with the control team on the BIAC slides, COCC, financial rep. letter and

variable interest report.

  • Act as a partner by reviewing and drafting accurate, reliable contracts for all company

transactions to ensure that the organization is achieving its Annual Operating Plan within

legal framework and with minimum legal risk and exposure vis-a- vis its contractual

partners and other third parties.

  • Implement company's policies related to corporate work and provide support to all other

functions in relation to documentation required for the implementation of PepsiCo

International policies and processes. Make sure all contracts are in compliance with

Company policies and work with Control to achieve this aim.

  • Ensure the accurate, reliable, and timely issuance of contracts in accordance with

company policies and all local statutory requirements. Negotiate contract terms as

support for other functions when required which includes meeting with third parties and

conducting contract negotiation sessions with them in order to reach final versions of

contracts agreeable to the company and its contractual partners.

  • Conduct legal research to provide legal advice to all functions including but not limited to

all corporate, civil, commercial, banking, criminal and labor law queries that are raised.

Role, Accountabilities, Measures And Skills

  • Liaise with Regional legal function for contract approvals to ensure compliance with

Schedule of authorities.

  • Prepare business activity reports as required by Regional legal function on monthly basis.
  • Act as liaison across all functions to ensure providing high level of quality to the functions

while maintaining company rights.

  • Ensure all local corporate transactions are executed in accordance with local laws and

PepsiCo International policies to avoid exposing the organization to a legal risk.

Qualifications

  • Knowledge: Excellent knowledge of Egyptian law, namely local statutory laws and corporate regulations, Experience in corporate compliance regulations, experience in drafting, reviewing and negotiating all kinds of contracts, excellent reporting skills in addition to experience in dealing with suppliers, customers and different stakeholders, corporate governance background, commercial law background, preferred to have experience in FMCGs and in-house back-ground in corporates.
  • Education: Bachelor of Law
  • Prior Work Experience: 8-10 years of experience in a legal department of a multinational organization or in a law firm specialized in corporate law.
  • Language Proficiency: English and Arabic language efficiency
  • Planning Ahead: Ability to prioritize contracts and tasks to meet business needs as well as balance between snacks and beverages requirements from the Corporate Legal team.
  • Skills & Abilities: Ability to function as part of a team. Very Good command of computer skills, High integrity and business ethics, ability to anticipate contractual issues and plan for them in each Contract, negotiation skills and ability to deal with different stake holders including governmental agencies, internal functions, suppliers, customers, Region staff, etc… as well as working under pressure.
