Lead the formation and registration of new business entities, both domestically and internationally, following the required jurisdictional protocols.
Draft and manage the documentation required for business incorporation, including articles of association, by-laws, and regulatory filings.
Maintain accurate and organized records of all formation-related documents and certificates.
Regulatory Compliance
Ensure all entities comply with local and international laws, regulations, and industry standards.
Monitor regulatory updates, changes, and compliance requirements; provide recommendations on necessary updates to internal processes and documentation.
Conduct periodic internal audits to verify compliance with applicable regulations and ensure accurate reporting.
Governance and Reporting
Manage statutory filings, including annual returns, financial disclosures, and compliance certificates, in collaboration with legal and financial departments.
Maintain accurate records of all compliance activities, including board resolutions, minutes, and annual general meetings.
Ensure timely submission of reports and adherence to filing deadlines to avoid penalties or regulatory breaches.
Risk Management
Conduct risk assessments and manage compliance-related risk registers, ensuring potential issues are proactively addressed.
Work closely with internal teams to develop strategies for mitigating compliance risks associated with business operations.
Stakeholder and Client Management
Act as the main point of contact for regulatory bodies, legal counsel, and external auditors.
Assist clients with understanding regulatory requirements and advise on best practices for maintaining compliance.
Support cross-functional teams to ensure compliance with internal policies and external regulations.
Policy Development and Training
Collaborate with the legal and compliance teams to develop, update, and enforce compliance policies and procedures.
Conduct training sessions for employees on compliance and regulatory requirements to foster a culture of compliance throughout the organization.
Requirements
Bachelor’s degree in Law, Business Administration, Compliance, or a related field.
Minimum of 3 years of experience in a compliance, legal, or formation-related role, preferably within the corporate, financial, or legal sectors.
Fluency in English (spoken & written)
Strong knowledge of regulatory compliance, corporate governance, and entity formation processes.
Experience with international compliance is preferred.
Excellent organizational, analytical, and communication skills, with the ability to manage multiple projects and work under strict deadlines.
Proficiency in Microsoft Office Suite; familiarity with compliance management software is an advantage.
